ZipToSale

Copyright & DMCA Policy

Last updated: September 27, 2026

ZipToSale respects the intellectual property rights of others and expects users of the ZipToSale platform to do the same.

ZipToSale is operated by Vertexa LLC. ZipToSale provides a business-to-business exchange through which independent sellers may list wholesale inventory and connect and transact directly with business buyers.

Sellers and other users are responsible for content they upload, submit, publish, or otherwise make available through ZipToSale, including photographs, product images, descriptions, logos, documents, manifests, and other materials.

1. Copyright infringement

ZipToSale responds to notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act (“DMCA”), 17 U.S.C. § 512.

If you are a copyright owner, are authorized to act on behalf of a copyright owner, or are authorized to act under an exclusive right under copyright, you may report alleged copyright infringement occurring on or through ZipToSale by sending a written notice to our Designated DMCA Agent.

You do not need to have a ZipToSale account to submit a DMCA notice.

2. How to submit a DMCA notice

A written notice of claimed copyright infringement should include all of the following:

  1. Identification of the copyrighted work. Identify the copyrighted work that you claim has been infringed. If your notice concerns multiple copyrighted works, you may provide a representative list of those works.
  2. Identification of the allegedly infringing material. Identify the material that you claim infringes your copyright and that you request be removed or access to which you request be disabled. Please provide information reasonably sufficient for ZipToSale to locate the material, preferably including the specific ZipToSale listing URL, storefront URL, image, or other page where the material appears.
  3. Your contact information. Provide information reasonably sufficient for ZipToSale to contact you, including your:
    • full legal name;
    • mailing address;
    • telephone number; and
    • email address, if available.
  4. Good-faith statement. Include a statement that you have a good-faith belief that the use of the copyrighted material complained of is not authorized by the copyright owner, its agent, or the law.
  5. Accuracy and authority statement. Include a statement that the information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
  6. Signature. Include your physical or electronic signature.

3. Designated DMCA Agent

Send copyright infringement notices to:

DMCA Agent

Vertexa LLC / ZipToSale

P.O. Box 465

Huntingdon Valley, PA 19006

United States

Telephone: 888-808-4934

Email: copyright@ziptosale.com

Email is the preferred method for submitting a copyright infringement notice.

Please do not use the DMCA contact information for ordinary customer-service, transaction, shipping, payment, or order-issue inquiries — those go through our support form.

4. What happens after ZipToSale receives a DMCA notice

Upon receiving a substantially complete and valid DMCA notice, ZipToSale will respond as appropriate under the DMCA, which may include removing or disabling access to the material identified in the notice.

ZipToSale may provide a copy of the notice, including the claimant’s contact information, to the seller or other user who uploaded, submitted, or otherwise provided the material at issue.

If a notice does not contain sufficient information for ZipToSale to identify the copyrighted work, locate the allegedly infringing material, identify or contact the claimant, or otherwise evaluate the notice under the DMCA, ZipToSale may request additional information.

Removal or disabling of material in response to a DMCA notice does not constitute a determination by ZipToSale that copyright infringement has occurred.

5. Counter-notification

If material that you uploaded or provided to ZipToSale has been removed or disabled because of a copyright complaint, and you believe the removal or disabling resulted from mistake or misidentification, you may submit a written counter-notification to ZipToSale’s Designated DMCA Agent.

A counter-notification must include:

  1. Your physical or electronic signature.
  2. Identification of the material that was removed or to which access was disabled and the location where the material appeared before it was removed or disabled.
  3. A statement under penalty of perjury that you have a good-faith belief that the material was removed or disabled as a result of mistake or misidentification.
  4. Your name, mailing address, and telephone number.
  5. A statement that you consent to the jurisdiction of the United States Federal District Court for the judicial district in which your address is located or, if your address is outside the United States, for any judicial district in which Vertexa LLC may be found.
  6. A statement that you will accept service of process from the person who submitted the original copyright infringement notice or that person’s agent.

Send counter-notifications to:

DMCA Agent

Vertexa LLC / ZipToSale

P.O. Box 465

Huntingdon Valley, PA 19006

United States

Telephone: 888-808-4934

Email: copyright@ziptosale.com

6. Restoration of material

When ZipToSale receives a valid counter-notification, ZipToSale may provide a copy of the counter-notification to the person who submitted the original copyright complaint.

Subject to the DMCA, ZipToSale may restore the removed material or cease disabling access to it not less than 10 and not more than 14 business days after receiving a valid counter-notification unless ZipToSale’s Designated DMCA Agent first receives notice that the complaining party has filed an action seeking a court order to restrain the allegedly infringing activity.

ZipToSale may continue to restrict or remove material that independently violates ZipToSale’s Terms of Use, Seller Agreement, policies, or applicable law.

7. Repeat infringers

ZipToSale maintains a policy of terminating or restricting, in appropriate circumstances, users who are repeat infringers of copyright or other intellectual property rights.

ZipToSale may consider copyright notices, counter-notifications, court orders, prior infringement matters, and other relevant circumstances when applying this policy.

Users whose accounts are terminated for repeat infringement may not attempt to circumvent the termination by creating, operating, or using another ZipToSale account.

8. Misrepresentations

Please carefully consider whether material is actually infringing before submitting a DMCA notice or counter-notification.

Under 17 U.S.C. § 512(f), a person who knowingly materially misrepresents that material or activity is infringing, or knowingly materially misrepresents that material was removed or disabled as a result of mistake or misidentification, may be subject to liability under applicable law.

9. Copyright disputes between users

ZipToSale provides tools that allow independent sellers and business buyers to connect and transact directly with one another. ZipToSale does not take title to sellers’ inventory and does not determine ownership of intellectual property merely because content or merchandise appears on the platform.

ZipToSale’s removal, restriction, restoration, or other handling of material under this policy is not a judicial determination regarding:

  • copyright ownership;
  • licensing rights;
  • fair use;
  • authenticity;
  • infringement; or
  • any party’s ultimate legal rights.

Where the parties continue to dispute ownership or authorization, they remain responsible for pursuing their respective legal remedies.

10. Trademark, counterfeit, and other intellectual property claims

The DMCA procedures described above apply specifically to copyright claims.

Claims concerning trademarks, counterfeit merchandise, patents, trade dress, rights of publicity, or other intellectual property may be subject to different legal standards.

If you believe material on ZipToSale infringes intellectual property rights other than copyright, you may contact copyright@ziptosale.com.

Please identify:

  • the rights owner;
  • your authority to act for the rights owner, if applicable;
  • the intellectual property right involved;
  • any applicable registration or supporting documentation;
  • the specific ZipToSale listing, seller page, or other material at issue;
  • why you believe the use infringes your rights; and
  • your contact information.

ZipToSale may request additional information, notify the affected seller or user, restrict or remove material, suspend a listing or account, or take other action consistent with its policies and applicable law.

See also our Terms & Conditions. Reporting a listing or store for a non-copyright problem, such as a misdescribed lot, is done from the listing or storefront page itself.
