Terms & Conditions

1. ZipToSale's role

ZipToSale is a service of Vertexa LLC, PO Box 465, Huntingdon Valley, PA 19006 ("ZipToSale", "we"). References to ZipToSale in these terms include Vertexa LLC.

ZipToSale is a B2B reseller exchange that connects wholesale buyers and sellers. Transactions are directly between buyer and seller. Any disagreement about an order is settled between the parties, through the issue tool on the order (section 5). ZipToSale does not arbitrate or decide issues and does not guarantee payment, delivery, refunds, or transaction outcomes.

Payments are made directly from the buyer to the seller using the payment method the seller offers. ZipToSale does not process, hold, or transmit payment funds, and does not collect or remit sales tax on any transaction. Lots are sold for resale. Where a listing requires a resale certificate, the purchase is documented by the buyer's certificate; where it does not, the seller may charge sales tax. Taxes are the sole responsibility of the buyer and seller.

2. Accounts and eligibility

ZipToSale accounts are for business use only. A business may be an individual (a sole proprietor) or a company. Users must provide accurate business information when registering and keep it current. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. By using ZipToSale you consent to receiving transactional email about your account and orders.

3. Payment terms

Payment for an order is due within 3 business days of receiving the seller's invoice; the deadline is shown on the order page. A reminder is sent before the deadline, and an order that remains unpaid after it is cancelled automatically. A seller may also cancel an unpaid order at any point during the window.

4. Cancellations

A buyer may cancel an order directly until the seller's invoice is sent; after that, a buyer's cancellation is a request that the seller may approve. A seller may cancel an order until it is marked shipped or ready for pickup; once an invoice has been sent, the cancellation takes effect only after any payment on the order has been settled between the parties, and any amount the seller confirmed receiving is recorded as a refund owed to the buyer. ZipToSale support may also cancel an order as an operational action. Once an order has been marked shipped or ready for pickup, it can no longer be cancelled by either party except as an operational action.

A reason is required for every cancellation, and the cancelling party and reason are recorded on the order and visible to both parties. Cancelled quantity returns to the listing only when the seller confirms the lot is still available.

5. Issues

ZipToSale provides an issue tool on each order. Either party may record what is wrong and propose a fix; the other party may accept it or propose another. Once a fix is agreed, the party carrying it out marks it done and the receiving party confirms it, and refunds are recorded as owed, reported sent and confirmed received. The tool keeps a record of proposals, messages and evidence and may hold certain order actions while a fix is on the table. ZipToSale does not arbitrate: it does not decide outcomes, determine whether a payment or refund was made, order refunds, or compel either party to act. ZipToSale may close a stalled or abusive issue with a documented reason, which changes nothing else about the order.

6. Resale purpose and resale certificates

Every purchase on ZipToSale is made for resale. By placing an order, the buyer agrees that they are purchasing the merchandise for resale purposes only. A buyer who uses purchased merchandise instead of reselling it is responsible for reporting and paying the applicable sales or use tax directly to their state.

Each listing states whether a resale certificate is required. When it is, the buyer must hold an approved certificate for the state the lot ships to (or the seller's state, for pickup), and by placing the order authorizes ZipToSale to share that certificate with the seller. Buyers are responsible for the accuracy of the information they submit; sellers are responsible for reviewing each certificate and deciding whether to accept it. If a seller rejects a certificate on a lot that does not require one, the buyer may continue without a certificate, and the seller may then charge sales tax.

7. Seller listing requirements

Sellers may only list inventory they own and have in their possession or control. Listing inventory on behalf of a third party is not permitted - no third-party resellers, brokers, or drop-shippers are allowed.

Sellers must keep each listing's quantity current and delist inventory that sells elsewhere, so that no lot is sold twice. A seller who cannot deliver a lot that was bought on ZipToSale must cancel the order promptly; repeated cancellations may lead to account suspension.

Only genuine, authentic merchandise may be listed. Counterfeit items, replicas, look-alikes, and unauthorized reproductions of any kind are strictly prohibited. Sellers who list such items will have their listings removed and their account suspended, and may be subject to other legal remedies.

Recalled, hazardous, stolen, or otherwise unlawful merchandise - and any item the seller cannot lawfully sell - may not be listed. Violations carry the same consequences: listing removal, account suspension, and other legal remedies.

8. Merchandise condition and listing accuracy

Lots are sold as-is unless the listing expressly states otherwise. Descriptions, condition grades, manifests, and estimated totals are provided by the seller and are not verified by ZipToSale. Buyers are responsible for reviewing the listing - including any manifest - before purchasing; sellers are responsible for the accuracy of everything they publish.

9. Listing images and content

Images found on this website are copyrighted. Images are provided solely to help you evaluate a purchase. ZipToSale, its partners, and its sellers do not grant any rights to use these images in any way, including in advertising or in the resale of the products found on this website. Use of these images for any purpose other than stated is strictly prohibited and may infringe on copyrights. Violations may be subject to fines, termination of account, and other legal remedies.

Sellers warrant that they own or hold the necessary rights to all images and content they upload, and grant ZipToSale a non-exclusive license to display that content on the site and in order and certificate flows.

Before a listing goes live, the seller confirms sections 7 to 9 in writing: that they own the inventory and list it for no one else, will keep the quantity current so nothing sells twice, that the listing is accurate and truthful, that every item is authentic, and that they hold the rights to its photos and text. ZipToSale records that confirmation with the listing.

10. Suspension and termination

ZipToSale may remove listings and suspend or terminate accounts for violations of these terms, for suspected fraud or abuse, or to protect buyers, sellers, or the platform.

11. Platform disclaimer, liability, and indemnification

The ZipToSale platform is provided "as is" and "as available," without warranties of any kind and without any guarantee of uptime or availability. To the maximum extent permitted by law, ZipToSale's liability arising out of or relating to the platform or any transaction is limited. You agree to indemnify and hold ZipToSale harmless from claims arising out of your listings, your content, or your transactions.

12. Changes to these terms

ZipToSale may update these terms from time to time; the "Last updated" date above changes when it does. Continued use of the platform after changes take effect constitutes acceptance of the updated terms.

13. Acknowledgment at checkout

Placing an order requires affirmatively accepting these transaction terms. The wording accepted, its version, and the time of acceptance are recorded with the order.
